Clicker Logistics provides truck dispatch services to independent truck drivers, small fleet owners, fleet companies, and owner-operators. Our services include but are not limited to:

3. Client Responsibilities

As a client of Clicker Logistics, you agree to:

  • Provide accurate and up-to-date information related to your trucking operation, including documentation required for compliance.
  • Maintain valid insurance, licenses, and certifications as required by state and federal law.
  • Communicate promptly with your dedicated dispatcher regarding load status, delays, or other issues.
  • Accept or decline loads within a reasonable timeframe after they have been offered by your dispatcher.
  • Submit Proof of Delivery (POD), invoices, and other paperwork promptly for processing.

Failure to meet these responsibilities may result in suspension or termination of services.

4. Fees and Payment Terms

Clicker Logistics charges fees based on terms agreed upon at the start of the business relationship. Fees are generally structured as:

  • A percentage of the load value or a flat rate per load for dispatch services.
  • Payment for services must be made upon delivery of the load or within the agreed payment period.
  • Accepted payment methods include bank transfers, credit cards, or any mutually agreed method.
  • Late Payments: A late fee may be applied for payments not made within the agreed-upon time. Non-payment may result in suspension or termination of services.

All fees are subject to change with 30 days’ notice to clients.

5. Service Limitations

  • Load Availability: Load availability depends on market conditions. While Clicker Logistics will strive to secure loads matching your preferences, we do not guarantee continuous load availability.
  • Rate Negotiations: Market factors such as supply, demand, and lane conditions can impact final rates, despite efforts to secure the best possible rates.
  • Carrier Packet Setup: Clients must provide accurate and complete information for carrier packet setup. Any delays or issues due to inaccurate information are the client’s responsibility.

6. Termination and Cancellation Policy

Either party may terminate the service agreement by providing 30 days’ written notice. Immediate termination may occur if:

  • Payments are not made in accordance with agreed terms.
  • The client is non-compliant with these terms or applicable laws.
  • The client fails to maintain required insurance or legal certifications.

Upon termination, any outstanding payments must be made immediately, and ongoing loads must be completed according to existing agreements.

7. Insurance and Liability

Clients are responsible for maintaining valid and sufficient cargo and liability insurance throughout the agreement. Clicker Logistics will not be liable for:

  • Loss, damage, or delays caused by carriers during transportation.
  • Financial losses resulting from load cancellations, broker non-payment, or third-party delays.
  • Any accidents, injuries, or damages that occur during transportation.

8. Confidentiality

Both parties agree to maintain confidentiality regarding all business operations, load details, rates, client information, and broker information. This confidentiality obligation will continue even after the termination of the agreement.

9. Indemnification

You agree to indemnify and hold Clicker Logistics, its officers, employees, and agents harmless from any claims, damages, liabilities, or expenses arising out of:

  • A breach of these terms.
  • Violations of laws, regulations, or ordinances.
  • Damages or loss of property during transportation.

10. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve it amicably through negotiation. If no resolution is reached, the matter may be submitted to mediation or arbitration. Any legal proceedings must be brought in the state of Wyoming, USA, and will be governed by Wyoming law.

11. Force Majeure

Clicker Logistics shall not be held liable for any delay or failure to perform any part of this agreement due to circumstances beyond its control, including natural disasters, acts of God, labor strikes, government actions, or other unforeseen events.

12. Amendments to Terms and Conditions

Clicker Logistics reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes via email or through updates posted on our website. Continued use of our services after amendments have been made constitutes acceptance of the revised terms.

13. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the state of Wyoming, USA, for matters related to Clicker Logistics’ business operations. However, where applicable, clients (carriers, fleet owners, owner-operators, etc.) may also be subject to the laws of their respective home states or the states in which they operate.

Any disputes arising under or in connection with these terms shall be governed by the relevant state laws of the client’s residence or operational state, except where such disputes directly involve Clicker Logistics, in which case Wyoming law shall apply, and the courts of Wyoming shall have exclusive jurisdiction.
